Welcome to Numexiss Advisory.
These Terms & Conditions ("Terms") govern your access to and use of our website, digital platforms, home-office consultation space, and consulting services. By accessing this website, using our submission forms, or engaging with us in person, you agree to be legally bound by these Terms. If you do not agree, please discontinue use immediately.
1. Scope of Services, Hybrid Consultation Model & Electronic Contracting
Numexiss Advisory provides corporate facilitation, business advisory, accounting, and compliance management consulting through digital channels and scheduled, in-person consultations.
- Facilitation Model: For specific statutory mandates requiring specialized professional sign-offs under Indian law—including but not limited to Tax Audit filings, Corporate Registrations, and Form 15CB certifications for NRIs—or whenever expert opinions are required, Numexiss Advisory acts as a strategic facilitator. We collaborate with, consult, and outsource data to independent, qualified Chartered Accountants (CAs) and Company Secretaries (CSs).
- In-Person Consultations (By Appointment Only): Advisory delivered during physical, in-person meetings at our dedicated home-office consultation space is strictly confidential and available by prior appointment only. Unscheduled walk-ins are not permitted. Verbal discussions during these sessions constitute high-level guidance only and do not bind Numexiss Advisory to execution or statutory timelines until formally contracted.
- Establishment of Engagement: A contractually binding professional engagement is strictly conditioned upon, and shall only be deemed executed through:
- A formal, written Engagement Agreement signed via authorized electronic signatures by both parties, OR
- An explicit, unequivocal, and unconditional acceptance of the defined scope of work, fee schedules, and delivery timelines exchanged via Electronic Records (as defined under Section 2(1)(t) of the Information Technology Act, 2000). Such Electronic Records must originate from the Client's designated email address and be successfully received by Numexiss Advisory’s designated official domain email inbox (@numexiss.com). Numexiss Advisory reserves the absolute right to refuse service or revoke any fee quotation prior to receiving explicit, unconditioned email confirmation from the Client.
2. Intellectual Property & Trademark Notice
"Numexiss" is a proprietary word mark currently under trademark application in India. All website content, text, graphics, digital assets, logos, layouts, and materials are the exclusive intellectual property of Numexiss Advisory. Unauthorized use, replication, or distribution of this intellectual property without prior written consent is strictly prohibited and subject to immediate legal action under applicable Indian IP statutes.
3. User Obligations, Timelines, and Custody of Physical Documents
- Data Authenticity: We rely entirely on the documentation you provide. Users bear absolute responsibility for the accuracy, legality, authenticity, and completeness of all financial records, corporate documents, and data submitted.
- Cut-off Deadlines: Numexiss Advisory is not responsible for any statutory penalties, fines, compounding interest, or late fees if the client fails to provide complete documentation at least 7 business days prior to the official government filing deadline.
- OTP and Signature Cooperation: Certain filings require real-time OTP verification or digital signatures (DSC/Aadhaar eSign) from the client. The client bears absolute responsibility for being available to provide valid OTPs or authorization. Numexiss Advisory accepts zero liability for failed or delayed filings caused by a client's non-responsiveness.
- Physical Document Policy: Numexiss Advisory operates a paperless workflow. Clients are requested not to leave original physical documents (such as original PAN cards, deeds, or physical bills) at our home-office consultation space. We accept no liability or custodial responsibility for the loss, theft, or damage of any unsolicited physical documents left behind.
4. Indemnification
You agree to defend, indemnify, and hold harmless Numexiss Advisory, its proprietors, employees, and outsourced professional partners (including CAs and CSs) from and against any claims, liabilities, losses, damages, penalties, or expenses (including legal fees) arising out of your breach of these Terms, misrepresentation of financial data, hidden income omissions, or violation of any Indian tax or corporate statutes.
5. Disclaimer & Limitation of Liability
- As-Is Basis: The informational content on this website and high-level initial consultation discussions are for general educational purposes only and must not be treated as formal tax, financial, or legal advice.
- Changes in Law & Portals: Numexiss Advisory is not liable for structural delays, data crashes, technical glitches, or downtime caused by government portals (such as the Income Tax e-filing portal, MCA, or GSTN). Furthermore, we are not liable for any changes in tax liabilities arising from unexpected, retroactive government updates, circulars, or notifications.
- Liability Cap: To the maximum extent permitted by applicable law, Numexiss Advisory’s total aggregate liability for any claim, error, or omission arising out of your use of this website or our digital and offline services shall be strictly capped at the total fee paid by you to us for the specific assignment in question.
6. Governing Law & Exclusive Jurisdiction
These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India. Any legal actions, suits, or contractual disputes arising under these Terms or our email engagements shall be subject to the exclusive jurisdiction of the competent courts located within Chennai, Tamil Nadu, India.
